These Terms explain how SpareDollar and Rescue work, what you can expect from us, what we need from you, how subscriptions and affiliate attribution work, and where the sharp edges are. The short version: use the product honestly, keep your own backups, review anything AI generates before you publish it, respect marketplace rules, pay for paid features you use, and do not make us chase ghosts.
These Terms are written in plain English, but they are still a legal agreement between you and SpareDollar. If you use SpareDollar, Rescue, our websites, APIs, dashboards, browser flows, marketplace integrations, affiliate links, or paid plans, you agree to these Terms and to our Privacy Policy.
1. Who we are
SpareDollar is an independent seller-tools platform operated by Tomas and Kate Salas. In these Terms, "SpareDollar," "we," "us," and "our" mean the people and business operating the websites and services at sparedollar.io, sparedollar.co, rescue.sparedollar.io, related subdomains, and any product surfaces we control.
"You" means the person or business using the service. If you use SpareDollar on behalf of a company, store, partnership, marketplace account, client, or employer, you represent that you have authority to bind that organization to these Terms.
2. What SpareDollar does
SpareDollar provides software tools for online sellers. These Terms apply to the full SpareDollar application, SpareDollar Rescue, sparedollar.io, rescue.sparedollar.io, related subdomains, and product surfaces we control. Depending on the plan, rollout stage, and integrations available to your account, the service may include:
Rescue tools for preserving, inspecting, importing, and exporting product images and listing data from third-party systems while users transition to SpareDollar.
Affiliate and partner attribution through Tolt or similar providers.
We can add, remove, pause, rename, limit, migrate, sunset, or change features and services as the product evolves. No feature, integration, storage workflow, archive workflow, or Rescue workflow is promised for any minimum period unless we say so in a separate written agreement. If a feature is experimental, it may break, disappear, or behave differently than expected. That is not us being cute. It is just software meeting reality.
3. Intellectual property and service content
SpareDollar, the SpareDollar name, logos, visual design, software, workflows, source code, product screens, documentation, templates, prompts, generated interface elements, non-user data, and other materials we provide through the service are owned by us or our licensors and are protected by intellectual property and other laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the service for your own lawful seller workflows. We do not grant you ownership of the service, our software, our brand, or our non-public product materials.
You may not copy, modify, sell, resell, sublicense, lease, reverse engineer, scrape, benchmark for competitive purposes, or create derivative products from SpareDollar except where applicable law says we cannot restrict that activity.
You may not remove copyright, trademark, attribution, security, or proprietary notices from any part of the service.
Marketplace names, logos, and marks belong to their owners. References to eBay, Poshmark, Etsy, Mercari, Depop, Shopify, Meta, or other platforms do not mean those platforms sponsor, endorse, or control SpareDollar.
If the service is accessed by or for the U.S. government, it is provided as commercial software and documentation with only those rights expressly granted in these Terms.
4. Accounts, eligibility, and user representations
You must be at least 16 years old, or the minimum age required in your jurisdiction, whichever is higher.
You must provide accurate account, billing, and contact information.
You have the legal capacity and authority to agree to these Terms for yourself or the business you represent.
You are responsible for your login credentials, connected marketplace sessions, API keys, browser sessions, and anyone who uses your account.
You are responsible for keeping your account details current, including email, billing information, and payment method.
You may not create accounts to evade bans, payment issues, rate limits, abuse reviews, marketplace restrictions, or usage limits.
We may refuse, suspend, or terminate accounts if we believe there is fraud, abuse, security risk, unauthorized use, illegal activity, marketplace policy abuse, payment failure, or conduct that creates risk for us, our users, or third-party platforms.
5. Your content and license to us
"User Content" means anything you upload, enter, import, connect, scan, generate from, or otherwise provide to SpareDollar. That includes photos, product data, listing titles, descriptions, SKUs, condition notes, marketplace exports, CSV files, URLs, account settings, and support messages.
You keep ownership of your User Content. To operate the service, you grant SpareDollar a limited, worldwide, non-exclusive, royalty-free license to host, copy, process, transform, analyze, display, transmit, and create outputs from your User Content. This license exists only so we can provide, secure, debug, improve, and support the service.
You represent that you have the rights needed to use the User Content with SpareDollar. Do not upload stolen photos, competitor catalogs, confidential data you do not have authority to process, infringing trademarks, counterfeit product data, or anything that violates another person's rights.
We may remove content or restrict features if we believe content is illegal, infringing, abusive, unsafe, deceptive, or likely to create marketplace, payment, legal, or security risk.
6. Feedback, submissions, and public contributions
If you send us ideas, suggestions, bug reports, feature requests, testimonials, reviews, comments, or other feedback, you allow us to use them without restriction or compensation. We may treat feedback as non-confidential unless we separately agree otherwise in writing.
If the service allows public posts, shared examples, public templates, public comments, community content, or similar contributions, you remain responsible for what you submit. You grant us the rights needed to host, display, moderate, remove, reformat, and distribute those contributions in connection with operating, promoting, improving, or protecting the service.
You agree not to submit feedback or public contributions that are unlawful, infringing, confidential without permission, deceptive, abusive, defamatory, spammy, malware, or otherwise harmful. We may remove or decline to use any submission for any reason.
7. AI outputs and listing responsibility
SpareDollar uses AI and other automated systems to help draft listings, infer categories, summarize product details, identify likely attributes, suggest prices, and improve seller workflows. AI can be useful. AI can also be confidently wrong.
You are responsible for reviewing every title, description, condition statement, category, image, price, shipping term, return term, marketplace field, and published listing before it goes live. SpareDollar does not guarantee that AI output is accurate, lawful, marketplace-compliant, complete, non-infringing, or fit for your specific item.
Do not publish output you have not reviewed.
Do not rely on SpareDollar for tax, legal, import/export, product safety, authenticity, counterfeit, restricted goods, or marketplace compliance advice.
You are responsible for truthful condition grading, defects, measurements, brand claims, authenticity claims, shipping promises, returns, item specifics, and buyer communications.
We may use automated safety checks, rate limits, and abuse detection, but those checks do not make us the publisher, seller, broker, marketplace, insurer, or guarantor of your listings.
8. Marketplace integrations and third-party accounts
SpareDollar is not eBay, Poshmark, Depop, Shopify, Meta, Etsy, Mercari, or any other marketplace unless we clearly say otherwise in writing. Marketplace names, logos, and references belong to their owners and are used only to identify integrations or workflows.
If you connect a marketplace account, browser session, extension session, OAuth token, cookie, export, or API credential, you authorize SpareDollar to use it for the actions you request, such as importing listings, preparing drafts, syncing account data, checking categories, or publishing items.
You are responsible for complying with each marketplace's terms, seller policies, fee rules, prohibited item rules, API rules, and account security requirements.
Marketplaces can change APIs, block sessions, revoke tokens, rate-limit accounts, reject listings, remove content, suspend accounts, change fee rules, add fees, duplicate or delay fees, or modify policies without warning.
We are not responsible for marketplace downtime, listing removals, account suspensions, lost rankings, lost sales, lost profits, duplicate listings, bad category choices, rejected uploads, buyer disputes, shipping issues, tax issues, additional marketplace fees, payment processing fees, advertising fees, promoted listing fees, listing insertion fees, final value fees, penalty fees, refund costs, chargebacks, or marketplace enforcement actions.
Some integrations may rely on session-based workflows, browser automation, exports, or unofficial surfaces when official APIs are unavailable or incomplete. Those flows are inherently fragile and may stop working.
9. Billing, subscriptions, trials, credits, and refunds
Paid plans are billed through Stripe or another payment processor shown at checkout. By starting a paid subscription, you authorize recurring charges for the plan, billing interval, taxes, and any usage-based charges disclosed at checkout or in the billing screen.
Subscriptions
Subscriptions renew automatically until canceled.
You can cancel through the billing portal or by contacting us at hello@sparedollar.io.
Cancellation usually takes effect at the end of the current billing period unless the billing screen says otherwise.
Failure to pay may result in retries, suspension, feature limits, loss of paid capacity, downgrade, or account termination.
Credits and usage
Some plans use SpareCredits or other usage limits. We may hold, commit, refund, grant, expire, or adjust credits to reflect product usage, failures, promotions, admin corrections, or abuse prevention. Credits have no cash value unless we explicitly say otherwise.
Refunds
Unless required by law, payments are non-refundable after a billing period begins. That said, if we break something materially or charge you incorrectly, tell us. We want to be fair and practical. We may issue refunds, credits, or account adjustments at our discretion.
Taxes and chargebacks
You are responsible for taxes, duties, and other government charges that apply to your use of the service. If you file a chargeback or payment dispute, we may suspend the account while the dispute is reviewed.
Marketplace fees
SpareDollar fees are separate from fees charged by marketplaces or third-party providers. You are responsible for any fees, commissions, subscriptions, insertion fees, final value fees, promoted listing fees, payment processing fees, shipping label charges, refund charges, penalty fees, or other amounts charged by eBay, Poshmark, Etsy, Mercari, Depop, Shopify, Meta, payment processors, shipping providers, or other third parties, even if those charges relate to a listing, import, sync, publish, edit, delete, archive, or migration workflow you attempted through SpareDollar.
10. Rescue bridge and archive services
SpareDollar Rescue is part of the SpareDollar service and is covered by these Terms. Rescue tools may help preserve, inspect, import, or export product images, listing metadata, CSV files, image URLs, and related seller data. Rescue is designed as a temporary bridge to help sellers reduce loss and transition to the full SpareDollar application when third-party systems change, fail, shut down, delete assets, or stop hosting images.
Rescue is not intended to be a permanent service, long-term hosting platform, public CDN, backup system, or ongoing marketplace management product. We may modify, limit, migrate, suspend, sunset, or discontinue Rescue at any time, with or without notice, subject to applicable law. Continued use of SpareDollar services may require moving from Rescue to the full SpareDollar application.
We cannot guarantee that third-party URLs, remote images, marketplace exports, or archived assets will remain available.
You are responsible for backing up important files, keeping independent copies of business-critical data, and verifying that any export or archive contains what you need before relying on it.
Storage limits, processing limits, supported file types, retention periods, and import speeds may vary by plan.
We may delete expired anonymous sessions, lapsed archives, abandoned uploads, malware, abusive files, temporary files, previews, or data tied to unpaid accounts.
11. Affiliate and referral terms
SpareDollar may run an affiliate, partner, referral, creator, advisor, or ambassador program through Tolt or another affiliate platform. These terms apply to anyone using a SpareDollar affiliate link, vanity slug, referral code, partner page, commission dashboard, or similar attribution method.
For customers
If you click an affiliate or partner link, we may store a first-party referral cookie or local attribution value so the correct partner can receive credit if you later sign up or subscribe.
Affiliate attribution does not change your price unless a discount is shown at checkout.
Affiliate partners may receive a commission if you become a paid customer.
Affiliate links do not mean the affiliate can access your account, billing details, marketplace data, listing data, or private support communications.
For affiliates and partners
You must disclose your material connection to SpareDollar clearly and conspicuously anywhere you endorse, recommend, review, compare, or promote SpareDollar. If you may earn money, say so in plain language.
You may not make false, misleading, unverifiable, or exaggerated claims about SpareDollar, earnings, marketplace results, AI accuracy, conversion rates, savings, support, or guaranteed outcomes.
You may not spam, buy fake traffic, use bots, stuff cookies, overwrite other affiliates' attribution, bid on our brand terms without permission, impersonate SpareDollar, create confusing domains, use deceptive redirects, or promote through illegal, adult, hateful, infringing, malware, coupon-poaching, or low-quality traffic sources.
You may not represent yourself as our employee, agent, legal representative, marketplace partner, payment processor, or official support channel.
Commissions are tracked through the affiliate platform and Stripe metadata. Tracking can fail because of browser settings, cookie blocking, cross-device behavior, user deletion, refunds, chargebacks, fraud reviews, failed payments, or platform outages. We are not required to manually recreate attribution when tracking is missing or reasonably disputed.
Commissions may be reversed, withheld, reduced, delayed, or denied for refunds, chargebacks, canceled subscriptions, self-referrals, fraudulent accounts, duplicate accounts, abuse, policy violations, or traffic that creates legal, payment, marketplace, or reputational risk.
Commission rates, attribution windows, payout thresholds, approval periods, and program rules may change. Continued participation after changes means you accept the updated rules.
You are responsible for your own taxes, forms, invoices, disclosures, and compliance obligations related to affiliate income.
We reserve the right to remove an affiliate, void commissions, or disable referral links if we believe the program is being abused or the relationship is not a good fit.
12. Privacy, cookies, tracking, and data
Our Privacy Policy explains what we collect, why we collect it, how long we keep it, and how to contact us about access, correction, deletion, or opt-out requests. The Privacy Policy is part of these Terms.
In practical terms, we may process account data, billing data, marketplace data, uploaded product data, images, usage logs, device data, support messages, referral information, affiliate attribution values, and security logs so we can operate, secure, bill, improve, and support the service.
We use first-party cookies and similar technologies for sign-in, security, preferences, affiliate/referral attribution, and product functionality. We also use third-party providers such as Stripe for payments, Tolt for affiliate attribution, Vercel for hosting, Neon for database infrastructure, Resend for email, and AI/model providers for product features.
13. Acceptable use
You may not use SpareDollar to:
Break the law or violate marketplace, payment processor, platform, or third-party terms.
Sell or promote counterfeit, stolen, illegal, unsafe, regulated, infringing, deceptive, or prohibited goods.
Upload malware, scrape without authorization, attack systems, bypass limits, probe security, overload infrastructure, or interfere with other users.
Use the service to build a competing product through automated extraction, reverse engineering, benchmarking, or copying non-public features.
Harass, threaten, abuse, dox, impersonate, defraud, or exploit anyone.
Use the product for spam, mass unsolicited messages, fake reviews, fake engagement, fake marketplace accounts, fake affiliate traffic, or manipulation of marketplaces.
14. Third-party services
SpareDollar depends on third-party providers. Those providers have their own rules, uptime, pricing, security, and data practices. They may include Stripe, Tolt, Vercel, Neon, Resend, Google, Anthropic, OpenAI, marketplace APIs, cloud storage providers, email providers, and others listed in our Privacy Policy or product screens.
We are not responsible for third-party services failing, changing, suspending accounts, rejecting transactions, charging additional fees, delaying payouts, losing availability, changing APIs, deleting assets, rate-limiting access, or enforcing their own terms. If a third-party provider changes the ground under us, we may need to change the product.
15. Site management, monitoring, and corrections
We may monitor the service for operational, security, abuse-prevention, billing, compliance, and support purposes. We may investigate suspected violations, remove or disable content, restrict access, rate-limit activity, block traffic, suspend accounts, preserve records, or cooperate with lawful requests when we believe it is necessary to protect users, the service, third-party platforms, or SpareDollar.
Information on the service may include mistakes, omissions, stale details, pricing errors, marketplace changes, feature descriptions that have drifted, screenshots from earlier versions, or other inaccuracies. We may correct, update, or remove information at any time without liability. If a price, plan limit, feature description, or marketplace workflow is materially wrong, we may refuse or cancel the affected transaction or adjust the account to reflect the accurate terms, subject to applicable law.
16. Beta features, early access, and product changes
Some SpareDollar features are beta, experimental, invite-only, transitional, or still being battle-tested. Beta and transitional features, including Rescue, may be incomplete, inaccurate, unstable, rate-limited, removed, migrated, discontinued, or changed without notice. We may collect feedback, usage data, and error logs to improve them.
We may update these Terms, prices, features, plan limits, supported marketplaces, credit rules, affiliate program rules, or privacy practices. If a change is material, we will try to provide reasonable notice. Continued use after a change means you accept the updated Terms.
17. Disclaimers
The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted operation.
We do not guarantee that SpareDollar will increase sales, save money, prevent marketplace suspension, recover every image, preserve every archive, publish every listing, prevent duplicate listings, avoid additional marketplace fees, choose the best category, avoid buyer disputes, comply with every marketplace rule, or produce perfect AI output. We are building useful tools, not magic.
18. Limitation of liability
To the fullest extent permitted by law, SpareDollar and its owners, operators, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost sales, lost business opportunities, lost data, lost listings, lost images, lost archives, lost goodwill, marketplace suspension, buyer disputes, payment processor actions, affiliate payout disputes, business interruption, additional marketplace fees, duplicate marketplace fees, payment processing fees, advertising fees, promoted listing fees, listing insertion fees, final value fees, shipping label charges, refund costs, chargebacks, penalties, or other third-party charges.
To the fullest extent permitted by law, our total liability for any claim related to the service is limited to the greater of: (a) the amount you paid SpareDollar in the three months before the event giving rise to the claim, or (b) $100.
Some jurisdictions do not allow certain limits, so some of these limits may not apply to you. In that case, the limits apply to the maximum extent allowed by law.
19. Indemnity
You agree to defend, indemnify, and hold harmless SpareDollar from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your User Content, your listings, your marketplace activity, your affiliate activity, your breach of these Terms, your violation of law, your violation of third-party rights, or your misuse of the service.
20. Suspension and termination
You can stop using the service at any time. We may suspend, terminate, migrate, sunset, or discontinue access to some or all of the service, including Rescue, if you violate these Terms, fail to pay, create risk, abuse the platform, violate marketplace rules, misuse affiliate links, or use the service in a way that threatens us, users, infrastructure, payment processing, marketplace relationships, or legal compliance.
After termination, we may retain or delete data according to the Privacy Policy, legal obligations, security needs, backup cycles, billing records, tax records, and dispute requirements.
21. Disputes and governing law
Before filing a formal claim, please email hello@sparedollar.io and give us a reasonable chance to fix the issue. Most problems should be solved by humans talking like humans.
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. Unless a different venue is required by law, disputes will be handled in the state or federal courts located in San Diego County, California.
22. Electronic communications, transactions, and signatures
By using SpareDollar, creating an account, clicking buttons, checking boxes, signing in, subscribing, connecting accounts, uploading files, sending messages, or otherwise interacting with the service electronically, you consent to electronic communications, records, notices, disclosures, agreements, transactions, and signatures.
You agree that electronic records and signatures can satisfy legal requirements that communications or agreements be in writing, signed, or retained, to the extent allowed by law. We may contact you by email, in-app message, account dashboard, support thread, billing portal, or other contact information you provide.
23. California users and residents
If you are a California resident and have a complaint that we have not resolved after you contact us, you may contact the California Department of Consumer Affairs Consumer Information Center at dca.ca.gov or 1-800-952-5210. This notice is provided for California users and does not limit the dispute, warranty, liability, or other terms above.
24. Miscellaneous
These Terms, together with the Privacy Policy and any product-specific terms shown in the service, are the entire agreement between you and SpareDollar for your use of the service. They replace prior or separate informal statements about the same subject unless we expressly agree otherwise in writing.
If part of these Terms is found unenforceable, the rest remains in effect and the unenforceable part will be interpreted as closely as legally possible to the original intent.
Our failure to enforce a provision does not waive our right to enforce it later.
You may not assign or transfer your account or these Terms without our written permission. We may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, financing, change of control, or similar transaction.
No joint venture, partnership, employment, agency, franchise, fiduciary, or marketplace relationship is created by these Terms.
Headings are for readability only. Words like "including" mean "including without limitation."
We are not responsible for delay or failure caused by events outside our reasonable control, including provider outages, marketplace changes, labor issues, payment network failures, security incidents, natural disasters, war, government action, or internet infrastructure failure.
We want terms that protect the business without insulting the people using it. If something here feels unclear, email us. We would rather fix the wording than hide behind it.
